Our client is looking to recruit an Assistant Company Secretary to join their expanding team on a permanent basis

The successful candidate will have a minimum of ICSA qualification along with the following experience:

Company Secretarial Services

To assist the Company Secretary to provide a professional company secretarial service to the Board and its committees by:

  • Taking responsibility for production and updating of the "Global Diary", scheduling the meetings of the Board, Board Committees, the Executive Committee and other Group forums;
  • Preparing agendas for meetings of the Board and its Committees, collating the relevant papers from around the Group, and publishing the papers on the Board portal in accordance with the agreed timeframes with the Board
  • Taking responsibility for ensuring that the logistics for Board and Committee meetings are efficiently coordinated;
  • Attending Board and/or Committee meetings and taking notes of the proceedings;
  • Promptly producing draft minutes for approval by the Company Secretary and arranging their approval by the chair of the meeting;
  • Producing an action tracker from the minutes of each meeting, tracking these through with the action owners to ensure completion and updating the tracker prior to the next meeting.

Statutory Obligations

  • Ensure that all statutory filings at Companies House and relevant regulators are made on time in respect of the Company and its subsidiaries and branches in the UK and overseas;
  • Ensure that the statutory books of the Company and its subsidiaries are kept up to date, including the Register of Controllers & Close Links;
  • Liaise with the Compliance function to ensure that appropriate contact is made with the Financial Conduct authority when required;
  • Liaise with the Group Finance function in the production of the Annual Report & Financial Statements, including drafting the Directors' Report and the Corporate Governance Statement;
  • Take responsibility for the orderly upkeep of the contents of the Legal & Company Secretarial fire safe.

Corporate Governance

To take responsibility for ensuring that the Company adheres to its obligations and policies in respect of corporate governance, including:

  • Creating and maintaining an up to date Corporate Governance manual, ensuring that the Directors Induction manual is up to date
  • Taking a lead role in the annual evaluation of the effectiveness of the Board and its committees, including issuing and collecting in questionnaires, collating and publishing the results and facilitating discussions of the findings
